Terms of Service

These Terms govern your use of SparkPay’s applications, websites, and any associated services. By using SparkPay, you agree to these Terms and our Privacy & Use of Data Policy.

1. Introduction

Welcome to SparkPay, operated by Bitbloom Technologies Limited ("SparkPay," "we," "our," "us"). These Terms of Service ("Terms") govern your access to and use of SparkPay's mobile applications, websites, administrative dashboards, and any associated services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms and our Privacy & Use of Data Policy. If you do not agree, you must not use the Services.

We operate in alignment with applicable laws and regulations including Central Bank of Nigeria (CBN) guidelines, the Nigeria Data Protection Regulation (NDPR), Anti‑Money Laundering and Countering the Financing of Terrorism (AML/CFT) requirements, and—where applicable—the General Data Protection Regulation (GDPR).

These Terms form a legally binding agreement between you and SparkPay. Please read them carefully and retain a copy for your records.

2. Eligibility

  • You are at least eighteen (18) years old or the age of majority in your jurisdiction.
  • You have the legal capacity and authority to enter into these Terms.
  • You will provide accurate, complete, and up‑to‑date information and keep it current.
  • You are not located in, under the control of, or a national or resident of any country subject to comprehensive sanctions or on any sanctions list that would prohibit your use of the Services.

3. Account Registration & Verification

To access most features, you must create an account and complete Know Your Customer (KYC) verification. We may require additional information and documentation as part of ongoing due diligence.

  • Level 1 (Basic): BVN verification and basic personal details. Feature and limit restrictions apply.
  • Level 2 (Full): Government‑issued ID, liveness verification, and proof of address. Expanded features and limits may apply.

We may refuse, suspend, or terminate accounts that fail verification, trigger risk alerts, or violate these Terms or applicable laws.

4. Description of Services

Subject to these Terms and regional availability, SparkPay provides: (a) a secure multi‑currency wallet for supported fiat currencies; (b) virtual cards with advanced controls; (c) a digital gift card marketplace with instant delivery; (d) bill payment and airtime/data purchases; and (e) instant domestic transfers and payment requests between SparkPay users.

We may add, modify, or discontinue features at our discretion, with notice where required by law.

5. Wallet Services

  • Wallet balances are denominated in supported fiat currencies (e.g., NGN, USD, EUR, GBP where available).
  • Funding and withdrawal options may include bank transfers, card payments, and in‑app peer transfers, subject to availability.
  • We may place holds, limits, or reviews on transactions to manage risk, comply with law, or prevent fraud.
  • You authorize us to debit applicable fees and charges from your wallet balance.

6. Virtual Cards

  • Where available, we may issue virtual cards in supported currencies for online payments. Eligibility and limits depend on your verification level and risk profile.
  • You are responsible for all authorized transactions. Keep card details secure and use in accordance with applicable network rules and merchant terms.
  • We may freeze, limit, or cancel cards due to suspected fraud, security concerns, chargebacks, or regulatory requirements.
  • Advanced controls (e.g., spending limits, merchant category controls, freeze/unfreeze) may be provided for your security.

7. Gift Cards

  • Digital gift cards are delivered in‑app upon successful payment. Unless required by law, all gift card sales are final.
  • Codes are validated prior to delivery. If a delivered code is proven invalid and unused, we will refund or replace it.
  • We are not responsible for loss, unauthorized use, or disclosure of codes after delivery and proper user authentication.

8. Bill Payments & Airtime/Data

Bill payments, airtime, and data top‑ups are processed via integrated providers and networks. Processing times, posting, and confirmations may vary by biller or network. We are not liable for delays attributable to external providers.

9. Transfers & Payment Requests

  • In‑app transfers between SparkPay users are typically instant but may be delayed for risk checks or provider outages.
  • Payment requests are prompts only; the recipient must approve before funds move.
  • Submitted transfers are generally final once processed. Review details carefully before confirming.

10. Fees, Rates & Taxes

  • All applicable fees are shown before you confirm a transaction. We may adjust fees or exchange rates without prior notice unless required by law.
  • Taxes, levies, or government charges may apply and are your responsibility.
  • Promotional rates or discounts may be time‑limited and subject to additional terms.

11. Limits & Controls

We apply transaction and account limits based on verification level, behavior, risk scoring, and legal requirements. We may update limits at any time for security, compliance, or operational reasons.

12. Prohibited Activities

  • Illegal transactions, fraud, money laundering, and terrorism financing.
  • Abuse of promotions, referral programs, or chargeback processes.
  • Interference with the Services, reverse engineering, scraping, or unauthorized access.
  • Use of stolen identities, accounts, cards, or data.

13. Compliance, KYC & KYB

We conduct ongoing monitoring, sanctions and PEP screening, and risk‑based reviews. We may request additional documents at any time and suspend features until satisfactory information is provided. For business users, Know Your Business (KYB) documents may be required, including corporate registration, directors/shareholders registers, and proofs of address.

14. Service Availability & Maintenance

While we target high availability (e.g., 99.9% uptime), the Services may experience interruptions due to maintenance, provider outages, or security events. We will give reasonable notice of planned maintenance where feasible.

15. Security & Authentication

  • We implement industry‑standard protections, including encryption in transit and at rest, device binding, and multi‑factor or biometric authentication where supported.
  • You must maintain strong device and account hygiene, keep credentials confidential, and promptly notify us of suspected compromise.
  • We may require a separate transaction PIN for financial actions.

16. User Responsibilities

  • Use the Services only for lawful purposes and in accordance with these Terms and applicable policies.
  • Review and confirm all transaction details before authorizing.
  • Respond promptly to our requests for information or clarification.
  • Update your information to keep it accurate and current.

17. Disputes, Chargebacks & Reversals

Contact Support first to resolve transaction issues. Where card‑network or bank rules apply, those rules will govern chargebacks and reversals. We may debit or place holds on your balance to recover funds resulting from chargebacks, reversals, or mistaken credits.

18. Refunds & Returns

Unless required by law or expressly stated, delivered digital goods (e.g., gift cards, airtime/data) are non‑refundable. For errors attributable to SparkPay or for invalid/unused delivered codes verified by us, we will refund or replace.

19. Data Protection & Privacy

Your data is handled according to our Privacy & Use of Data Policy, which describes what we collect, how we use and store it, and your rights. By using the Services, you consent to those practices.

20. Communications & Notices

We may contact you via in‑app messages, push notifications, email, or SMS regarding your account, transactions, security, or changes to the Services. You are responsible for keeping your contact details accurate and for monitoring communications.

21. Third‑Party Services & Links

The Services may integrate or link to third‑party services. We are not responsible for third‑party content, terms, or performance. Your use of third‑party services is at your own risk and subject to their terms and privacy policies.

22. API & Developer Access

  • Access to any SparkPay APIs requires our prior written approval and is subject to separate documentation, rate limits, and security requirements.
  • You may not misuse APIs, circumvent limits, or access data you are not authorized to receive.
  • We may modify or revoke API access at any time for security, compliance, or operational reasons.

23. Intellectual Property

The Services, including all content, software, logos, and trademarks, are owned by SparkPay or its licensors and are protected by law. You may not copy, modify, distribute, or create derivative works without our prior written consent.

24. Suspension & Termination

We may suspend, limit, or terminate your access for suspected fraud, policy breaches, non‑payment, or as required by law. You may close your account at any time, subject to completing verifications and settling outstanding obligations. Certain clauses survive termination (e.g., IP, liability, indemnity).

25. Warranties Disclaimer

The Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non‑infringement.

26. Limitation of Liability

To the maximum extent permitted by law, SparkPay is not liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, revenues, or data. Our total liability for any claim arising from or relating to the Services shall not exceed the total fees you paid to SparkPay in the three (3) months preceding the event giving rise to the claim.

27. Indemnity

You agree to indemnify and hold harmless SparkPay, its affiliates, and their directors, officers, employees, and agents from and against claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or related to your breach of these Terms, violation of law, or misuse of the Services.

28. Governing Law & Jurisdiction

These Terms are governed by the laws of the Federal Republic of Nigeria. You agree to the exclusive jurisdiction of the courts of Nigeria for disputes, unless applicable law requires otherwise.

29. Changes to these Terms

We may update these Terms from time to time. Changes take effect when posted or as otherwise communicated. Your continued use of the Services after changes become effective constitutes acceptance of the updated Terms.

31. Definitions

  • Services: SparkPay's mobile apps, websites, dashboards, APIs, and related offerings.
  • Wallet: Your account facility for holding and transacting in supported fiat currencies.
  • Virtual Card: A card issued by or on behalf of SparkPay for electronic transactions, subject to network and issuer rules.
  • Gift Card: A digital voucher from third‑party merchants delivered via the Services.
  • KYC/KYB: Identity and business verification procedures required by law and SparkPay policy.
